Terms of Use
Effective January 1 2025
These Terms of Use (the “Terms”) govern your use of TheraPro’s web-based clinic platform and any websites, mobile applications, features, products, resources, or services provided, owned, operated, or made available by TheraPro LLC (collectively, the “Services” or the “Platform”).
Please read these Terms carefully before subscribing to or using any Services. These Terms are a legal contract between TheraPro LLC (“TheraPro,” “we,” “us,” or “our”) and each person who uses the Services. If you are entering into these Terms on behalf of a company, organization, clinic, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
Definitions used in these Terms
- Subscriber: any party that subscribes to and pays for TheraPro’s clinic platform (e.g., a therapy clinic) and its authorized sub-users (e.g., practitioners, staff).
- You / Your: any user of the Services (e.g., a practitioner or staff member at a Subscriber’s clinic, or an individual browsing our site) who accepts these Terms. In contexts relating to Subscriber Data, “you” refers to the Subscriber (and its sub-users) and does not include Patients.
- Patient: an individual who interacts with the Platform (e.g., booking or attending sessions with a Subscriber).
Acceptance
BY ACCESSING OR USING ANY PART OF THE PLATFORM OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY NOTICE AND HIPAA STATEMENT. If you cannot enter into this agreement (e.g., lack authority for an entity or are under the age of majority) or do not agree to these Terms, you must not access or use the Services. We may update these Terms from time to time; the “Last Updated” date reflects the latest changes.
Arbitration Notice & Class Action Waiver
You agree that disputes between you and TheraPro will be resolved by binding, individual arbitration, and you waive any right to participate in a class action or class-wide arbitration. See Disputes below for details and opt-out instructions.
Notice to Patients
If you are a Patient, your clinic or practitioner controls your Patient information (e.g., contact details, billing data, records) within the TheraPro Platform. Questions about how your information is collected and used should be directed to your practitioner or clinic (the Subscriber). TheraPro controls only the authentication credentials for any patient account created directly with TheraPro (e.g., login email and password). See our Privacy Notice for details.
Intellectual Property
Ownership
TheraPro retains all right, title, and interest in and to its patents, inventions, copyrights, trademarks, domain names, trade secrets, know-how, and any other intellectual or proprietary rights now existing or later arising (“IP Rights”). You retain all right, title, and interest in and to your IP Rights. These Terms grant you no ownership in the Services or any TheraPro IP Rights.
Use of TheraPro Marks
Any use of TheraPro names, logos, or trademarks (“Marks”) must comply with TheraPro’s Brand & Trademark Guidelines (as updated from time to time). The Guidelines form part of these Terms.
License to You
TheraPro grants you a limited, revocable, non-exclusive, non-transferable license to access and use the materials and content within the Services on a personal device solely for:
(i) your internal clinic/business purposes; or (ii) your personal, non-commercial use.
Conditions:
- Retain all copyright, trademark, and proprietary notices (e.g., “© 2025 TheraPro LLC. All Rights Reserved”).
- Do not publicly disseminate or distribute materials without TheraPro’s written permission.
- Do not sell, license, or commercialize TheraPro materials.
- Comply with the Acceptable Use Policy below.
Confidentiality
Any non-public information we disclose to you (e.g., platform operations, technical safeguards, documentation, security designs) is TheraPro Confidential Information. Unless disclosure is required by law or order, you will not disclose it to anyone other than your professional advisors who (a) need to know it, (b) use it only to advise you, and (c) agree to keep it confidential.
Feedback & Contributions
If you submit feedback, suggestions, or content to TheraPro, you grant TheraPro a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use and incorporate it into the Services and to share it with other users. Providing feedback does not entitle you to compensation or ownership in the Services. TheraPro may seek IP protection for features derived from or inspired by your suggestions.
Third-Party Services & Integrations
The Services may integrate with third-party tools you choose to use (e.g., telehealth/video, secure messaging, SMS, secure email, storage, insurance/billing, maps, analytics). Your use of any third-party integration may be subject to that provider’s separate terms and privacy policies. TheraPro is not responsible for third-party services and does not guarantee their availability, security, or performance.
Acceptable Use Policy
Users must behave responsibly and lawfully, respecting TheraPro personnel, other users, IP rights, and applicable laws. You agree to:
- Use the Services only in compliance with applicable laws and clinic policies (including HIPAA where applicable).
- Communicate with TheraPro team members respectfully and abide by our Community Standards.
You must not:
- “Frame” or “mirror” Services content elsewhere.
- Post or transmit content that is unlawful, harmful, defamatory, obscene, discriminatory, harassing, infringing, invasive of privacy, or otherwise objectionable.
- Harvest/scrape others’ information from the Services.
- Probe/scan/test vulnerabilities or breach security/authentication.
- Forge headers or manipulate identifiers to disguise origin.
- Impersonate any person or entity or misrepresent your affiliation.
TheraPro may suspend or terminate access, or take other remedial action, for violations or suspected violations of this policy or these Terms.
Subscriptions & Billing
Subscription
Subscribers purchase monthly subscription plans and pay applicable fees in advance. By subscribing, you authorize TheraPro to charge your selected payment method for recurring fees and any usage-based adjustments (e.g., user seats). We’ll notify you before material pricing changes take effect.
Subscribers are responsible for:
- Keeping billing info current;
- Maintaining a valid payment method;
- Managing user licenses;
- Paying fees on time.
Account Owners manage billing in Account Settings or by contacting TheraPro. Except as stated under Termination & Refunds below, fees are non-refundable.
Availability
TheraPro will provide the Services for the subscribed plan in line with our Service Level standards. We are not responsible for unavailability caused by factors outside our reasonable control (e.g., internet/provider outages, device failures).
Limitations
Public website content/resources are for general information and may be updated or discontinued. TheraPro does not provide legal or professional advice—Subscribers should obtain their own compliance counsel.
Accounts & Roles
Creating Accounts
To use the Services, you must create an account with accurate information. Do not create an account if you lack authority or are impersonating another person.
Account Owner
The person who signs up on behalf of a Subscriber is the Account Owner and is treated as authorized to administer that Subscriber’s account (e.g., add/remove users, set permissions). Each Subscriber has one Account Owner on record; changes to the Account Owner can be made in Account Settings.
User Accounts
Subscribers are responsible for all activities under their users’ accounts and any issues, claims, or disputes arising from user conduct. Keep credentials confidential. Reset your password and notify support@therapro.app immediately if you believe credentials are compromised, a device is lost/stolen, or unauthorized activity occurred. TheraPro may temporarily restrict access if compromise is suspected and may require identity verification for account support.
TheraPro is not liable for losses due to a Subscriber’s failure to safeguard accounts. We may access Subscriber accounts as necessary to provide security or technical support, comply with legal obligations, or respond to your requests.
Subscriber Data, Patient Data & HIPAA
Ownership & Control
Subscribers retain ownership and control of Subscriber Data (including Patient Data that a Subscriber collects, enters, or generates in the Services). Depending on jurisdiction, Subscribers may be “covered entities,” “controllers,” “custodians,” or similar. Subscribers are solely responsible for compliance with applicable laws, including obtaining all required consents.
Each Subscriber determines:
- What data to collect; how it is used; which users may access it; how long it is stored; when/why it is deleted; and the basis for transferring or assigning custody/control.
TheraPro’s Role
TheraPro acts as a service provider / business associate / processor to the Subscriber. We store data securely and access it only as authorized by the Subscriber or as necessary to: operate/support the Services; prevent/address technical issues or fraud; or comply with law or legal process. We do not use, disclose, modify, archive, or destroy Subscriber Data except as directed by the Subscriber or permitted by these Terms and our retention practices.
Account Ownership Disputes
TheraPro relies on instructions from the Account Owner on file. We generally cannot determine who should be Account Owner and will not adjudicate internal disputes. Parties should resolve disputes independently or with counsel. In rare cases, and at our discretion, we may evaluate requests sent to security@therapro.app, and may require documentation, indemnities, or fees before making changes.
HIPAA / BAA / Other Addenda
If a Subscriber is subject to HIPAA, TheraPro will, upon request, execute its standard Business Associate Agreement (BAA). For GDPR-subject entities, our Data Processing Addendum (DPA) applies. Contact privacy@therapro.app for copies. Where law requires a controller–processor contract, these Terms (and applicable addenda) constitute that agreement.
Questions About Data
Users should direct questions about Subscriber Data to the Subscriber’s Account Owner. Account Owners may contact TheraPro via our Contact page for assistance.
Anonymized & Aggregated Data
TheraPro may use anonymized and aggregated data derived from Subscriber Data to improve the Services and for analytics/statistics. We will not disclose re-identifiable individualized information without the Subscriber’s consent or as required by law.
Patient Authentication Data
To streamline patient access, TheraPro may provide a patient login that can connect to multiple Subscriber clinics at a Patient’s choice. TheraPro is a controller of Patient Authentication Data (e.g., email/username and password) only for authentication. This does not include a Patient’s clinical/health records, which are controlled by the Subscriber clinic. TheraPro safeguards Patient Authentication Data and will not disclose it to a Subscriber without the Patient’s consent or as required by law.
Security
Safeguards
TheraPro maintains an information security program with administrative, technical, and physical safeguards designed to protect Subscriber Data (e.g., role-based access, encryption in transit/at rest for supported data, secure infrastructure, PCI-compliant payment processors).
Optional Security Features
Features may include granular user permissions, audit logs, and controls to help clinics reduce accidental disclosure or changes. See product docs or contact support for details.
Security Incidents
If TheraPro determines a security breach of the Services has resulted in unauthorized access/disclosure of Subscriber Data, we will notify affected Subscribers without undue delay and will cooperate reasonably to mitigate impacts. TheraPro will directly notify Patients if Patient Authentication Data is affected.
Your Responsibilities
Subscribers must implement appropriate internal safeguards, train users, and promptly notify TheraPro of any suspected unauthorized access.
Data Retention & Export
During Subscription
TheraPro retains Subscriber Data for the duration of an active subscription, unless law or a valid Subscriber request (from the Account Owner) requires deletion and we are legally permitted to do so.
Export
Subscribers may export their data at any time and should do so prior to terminating the subscription. TheraPro can provide batch exports as described in documentation (additional requests may incur fees).
After Termination
When a subscription ends, the account is deactivated and no longer accessible by the Subscriber. TheraPro may retain data for a period (as permitted by law) to allow potential reactivation. During this period, data is stored securely and isolated from further processing.
Termination & Refunds
Overdue Fees
If fees are more than 30 days overdue, we may suspend or terminate access after at least 7 days’ prior notice, unless fees are reasonably disputed in good faith and you are cooperating to resolve.
Termination by TheraPro
We may suspend or terminate access for violations of these Terms, unlawful use, or harm to TheraPro/others. If we discontinue the Services, we will use best efforts to notify you and assist with data retrieval when feasible.
Patient Login on Termination
If a Subscriber account is terminated, any previously linked patient logins will lose access to that specific Subscriber’s materials, but a Patient may still use their credentials for other linked Subscribers.
Refunds
If you terminate due to TheraPro’s uncured material breach or we discontinue the Services, we will refund prepaid fees for the unused portion of the term. If we terminate for your breach, no refund is due, and unpaid fees remain owed.
Legal Limits
Disclaimer
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” THERAPRO MAKES NO WARRANTIES—EXPRESS OR IMPLIED—INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, NON-INFRINGEMENT, OR THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. INFORMATION PROVIDED VIA THE SERVICES MAY NOT BE COMPLETE, ACCURATE, OR CURRENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THERAPRO’S TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID TO THERAPRO FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100 IF YOU HAVE NO PAYMENT OBLIGATION.
IN NO EVENT WILL EITHER PARTY BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. SOME JURISDICTIONS MAY LIMIT THESE DISCLAIMERS—IF SO, THEY APPLY TO THE MAXIMUM EXTENT PERMITTED.
Notices, Governing Law & Disputes
Notices
TheraPro may send notices and communications electronically to the Account Owner’s email on file. Account Owners should keep contact details current. You may send notices to TheraPro using the Contact information below.
Governing Law
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules.
Disputes & Arbitration
If a dispute arises, the parties will first negotiate in good faith. If unresolved after 60 days, disputes must be resolved by binding arbitration before a single arbitrator with relevant experience, held in Charleston County, South Carolina, and administered under applicable rules.
Class Action Waiver: You and TheraPro agree not to participate in any class, collective, or representative proceeding.
30-Day Opt-Out: To opt out of arbitration and the class-action waiver, you must notify legal@therapro.app in writing within 30 days of first accepting these Terms. Your notice must include: (i) name, (ii) email and mailing address, and (iii) a statement that you opt out of arbitration and the class-action waiver. Opt-out affects only these Terms and not any other arbitration agreement with us (past or future).
One-Year Limit
Any claim arising out of or related to these Terms or the Services must be filed within one (1) year of the event; otherwise, the claim is permanently barred (unless a longer period is required by law).
Electronic Communications Consent
You agree to receive these Terms and related communications electronically (e.g., by email, in-app notices). All electronic documents are considered “in writing.” If you withdraw consent, you must close your account and stop using the Services (withdrawal may take time to process and applies after all amounts owed are paid).
